Family Dollar (FDO) became a must-have after Carl Icahn announced a 9.4% stake in the bargain retailer–and so did competitors like Dollar General (DG) and Dollar Tree (DLTR).
REUTERS Carl IcahnGuggenheim’s John Heinbockel and Steven Forbes explain why they’re bullish on Family Dollar:
Following Carl Icahn’s disclosure of a 9% stake in FDO, we reiterate our contrarian BUY, believing that significant shareholder value can be created in this well-positioned but underperforming and overcapitalized business. Our focus remains on a turnaround, not consolidation…
We would note that the 100 basis points plus of EBIT margin expansion we have built into our model represents the recovery of only 50% of the erosion seen since 2011 and would still leave a level of profitability well below that of both Dollar General (DG, BUY, $57.99) and Dollar Tree (DLTR, NC, $55.14). There are opportunities beyond what we have modeled to the degree that costs are better controlled and pricing is better managed.
The filing notes that the shares are ndervaluedand Icahn ees great long-term potential in the issuer (FDO) industryand that it ntends to seek to have conversations with senior management and the BOD.”nything that further accelerates the pace of change is a positive.
Family Dollar, however, has adopted measures to keep Icahn at arm’s length following the filing.
Shares of Family Dollar have gained 14% to $68.78 at 3 p.m., while Dollar General has risen 7.5% to $62.32 and Dollar Tree has advanced 0.5% to $55.43.

Julio Cortez/AP NEW YORK -- Many U.S. retailers had to ramp up promotions last month as shoppers continued to watch their spending during the holiday season, hitting profits at several chains. L Brands (LB) cut its earnings forecast for the holiday quarter Thursday after reporting disappointing December sales at its Victoria Secret and La Senza chains. The company said it had to offer more deals than expected, the second month in a row it has had to do so. Family Dollar Stores (FDO) and teen retailer Zumiez (ZUMZ), which both reported sales declines for December, also slashed their profit forecasts. Even retailers that saw big sales gains, such as Kay Jewelers parent Signet Jewelers (SIG), weren't spared. "Additional discounting was necessary in a highly promotional retail environment," Signet Chief Executive Officer Mike Barnes said in a statement. A group of nine U.S. retailers in the Thomson Reuters same-store sales index are expected Thursday to report a sales rise of 1.9 percent in December at stores open at least a year, well below the 7.2 percent increase of a year earlier. Including drugstore chains Walgreen (WAG) and Rite Aid (RAD), analysts estimate the rise at 2.7 percent. Gap (GPS) will report after the markets close Thursday. Faced with reticent shoppers worried about their job prospects and modest economic growth, retailers offered more discounts during the holiday season than a year earlier. Between Nov. 3 and Jan. 4, eight retailers, including Walmart Stores (WMT), Target (T) and Macy's (M) , increased the number of circulars published by 6 percent and sent 57 percent more promotional emails, according to data prepared for Reuters by MarketTrack. Retailers also had to deal with shoppers who were less willing to go into stores: Data firm ShopperTrak this week said foot traffic had dropped 14.6 percent this holiday season. When Tranzbyte Corp. (OTCMKTS:ERBB) and Medbox Inc. (OTCMKTS:MDBX) both announced they would be unveiling vending machines to dispense medical marijuana and/or recreational marijuana, fans and supporters of hemp/pot applauded the ease of access, but even some of the most die-hard supporters saw potential problems. Although the machines made by MDBX and ERBB would only dispense marijuana if a strong verification procedure had been successfully performed, there was just something a little un-nerving about an un-manned metal box that - given the right hacking capabilities - could be fooled into giving marijuana to someone who shouldn't have it. Or barring that, the machines (which are admittedly solid and stout) could still be vandalized, broken, or even outright stolen if left unprotected. Those are long shots, granted, but thieves know few bounds.

Craig Warga/Bloomberg via Getty Images NEW YORK -- Looks like the best suitor won. After an extended chase that included overtures on both sides, Men's Wearhouse and Jos. A. Bank will combine to create the nation's fourth largest seller of menswear. Men's Wearhouse (MW) said Tuesday that it's buying its rival Jos. A. Bank Clothiers (JOSB) for $1.8 billion. The company will pay $65 a share, a 5 percent premium to Jos. A. Bank's most recent closing price. As part of the deal, Jos. A. Bank also said it's terminating its deal to acquire the parent company of Eddie Bauer, which sells rugged outerwear. Shares of both companies rose on the news: Men's Wearhouse's shares were up nearly 5 percent to $57.13, while shares of Jos. A. Bank increased nearly 4 percent to $64.22. The acquisition comes after months of the two chains publicly fighting over who would acquire whom. Industry watchers had speculated that a merger was inevitable given the challenges the companies face in the increasingly competitive menswear landscape. With more than 1,700 U.S. stores and $3.5 billion in annual sales, the combined company's reach in men's clothing will fall behind only Macy's (M), Kohl's (KSS) and J.C. Penney (JCP). "Together, Men's Wearhouse and Jos. A. Bank will have increased scale and breadth," Doug Ewert, president and CEO of Men's Wearhouse, said in a statement. Jos. A. Bank made the first move in October when it offered to buy its larger rival for $2.3 billion, just a few months after Men's Wearhouse ousted its founder and chairman. Men's Wearhouse shot down that offer, and turned the tables, offering to buy its rival for $1.54 billion. But after Jos. A. Bank turned down that bid, Men's Wearhouse increased its offer to $1.6 billion, and then again to $1.78 billion. In the middle of the back-and forth, Jos. A. Bank said last month that it was buying the parent of Eddie Bauer, but left the door open for a deal with Men's Wearhouse. At the time, it said if it received

Advisors' Opinion:- [By Interactive Buyside]
West Marine (Nasdaq: WMAR) is an undervalued retailer. The company is going through a change in focus from a bricks and mortar boat product retailer to a fully integrated retail and wholesale business through bricks and clicks, targeting the boating and water enthusiast customer. Recent results have been affected by a severe rainy and cool spring which hurt boat usage and delayed the start of the season. The company has accelerated cash investments to build larger more productive stores and expand its ecommerce abilities, consequently affecting free cash flow short term. The stock lacks sponsorship as there is only one research report written on the company by a small boutique firm. The stock trades at only book value despite the company being the leading industry player with a solid balance sheet and significant net cash position.

In contrast, Dollar Tree (NASDAQ: DLTR ) booked an expansion of profits, to 35.2%, continuing a trend that's seen it pull away from Family Dollar.
